AbridgeRx Website Terms of Service

1. INTRODUCTION & MEDICAL DISCLAIMER
1.1. Agreement. These Terms of Service ("Terms") constitute a binding legal agreement between you (the "User," whether a Patient or Prescriber) and RemedyRx, LLC d/b/a AbridgeRx ("AbridgeRx," "we," or "us"). These Terms govern your use of the AbridgeRx website (the "Site") and the platform services facilitating the ordering, management, and fulfillment of custom medications (the "Services").

1.2. NOT A MEDICAL PROVIDER. AbridgeRx is a software technology platform. We do not practice medicine, we are not a pharmacy, and we do not provide telehealth services.
  • Patients: The medical care, diagnoses, and prescriptions you receive are provided solely by your independent Prescriber, not AbridgeRx.
  • Prescribers: You retain full clinical autonomy and responsibility for your patients. AbridgeRx provides only the digital infrastructure to manage your practice.
1.3. Acceptance. By creating an account, clicking "I Agree," or purchasing a prescription, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1.4. Definitions.
  • Non-Covered Services: Services not covered or reimbursable by any insurance or government program.
  • Care Plan: Digital tools for patient education and reminders, provided as software only.
  • Prescriber Management Fee: A fee for the Prescriber's time in monitoring treatment, based on Fair Market Value.
  • Patient: An individual receiving medications or services through the Site.
  • Prescriber: A licensed healthcare provider using the Site to manage patients.
  • Partner Pharmacies: pharmacies in AbridgeRx's network used to fulfill prescriptions from a Prescriber.
  • Protected Health Information (PHI): As defined in HIPAA and our Business Associate Agreement.
  • Parent Account: The primary Prescriber account holder acting as the authorized representative and administrator for their practice.
  • Sub-Account: Authorized users (such as Providers, Delegates, or View Only staff) invited to the Platform by a Parent Account.
2. PATIENT FINANCIAL RESPONSIBILITY & NON-COVERAGE
2.1. Non-Covered Services. By using this Service, you (the Patient) acknowledge that the medications and care management services provided via AbridgeRx are Non-Covered Services. This means they are not reimbursable by commercial insurance or federal healthcare programs.

2.2. No Insurance Claims. You agree that you will not submit any claim for reimbursement to any insurance payer, including but not limited to Medicare, Medicaid, Tricare, or any private health insurance plan, for any product or service purchased through AbridgeRx.

2.3. Cash-Pay Only. You agree to pay for all services out-of-pocket. You understand that the total cost includes: (i) the cost of the medication; (ii) a technology and shipping fee to AbridgeRx; and (iii) where applicable, a Non-Covered Services Fee paid to your Prescriber for their ongoing management and monitoring of your care.

3. ACCOUNT REGISTRATION & SECURITY
3.1. Accuracy You agree to provide accurate, current, and complete information during registration.

3.2. Security. You are responsible for maintaining the confidentiality of your account credentials. You agree to notify AbridgeRx immediately of any unauthorized use of your account. If you are a Prescriber acting as a Parent Account, you are strictly responsible for all activity conducted under any Sub-Accounts you invite (including Providers, Delegates, and View Only staff) and must ensure they comply with these Terms.

3.3. Eligibility. The Site is intended for use only by individuals 18 years of age or older. Usage by minors (under 18) is permitted only under the supervision and with the consent of a parent or legal guardian who is at least 18 years old and who agrees to be bound by these Terms on behalf of the minor. If you are a parent or guardian allowing a minor to use the Site, you are fully responsible for their use and compliance with these Terms. AbridgeRx does not knowingly collect personal information from children under 13 without verifiable parental consent in accordance with the Children’s Online Privacy Protection Act (COPPA). If we learn that we have collected information from a child under 13 without appropriate consent, we will delete that information as quickly as possible.

4. USE OF THE SITE & LICENSE
4.1. License. We grant you a limited, non-exclusive, non-transferable license to access and use the Site for your personal (if Patient) or professional (if Prescriber) use.

4.2. Restrictions. You may not: (i) reproduce or resell any part of the Site; (ii) reverse engineer the platform; (iii) use data mining or bots to extract content; (iv) attempt to bypass security measures; or (v) use the Site for any illegal purpose.

5. CARE PLANS & SMS COMMUNICATIONS
5.1. Care Plan Participation. As a Patient, you acknowledge that your Prescriber may enroll you in a digital Care Plan via AbridgeRx. This includes automated SMS/text reminders and educational messages. By enrolling, you consent to PHI sharing under our HIPAA Care Plan Authorization. You further acknowledge and consent that your Care Plan information and related health data may be shared among authorized Sub-Accounts and linked providers within the same practice or clinic to facilitate your continuous care.

5.2. Reporting Adverse Events.
  • Patients: If you experience a side effect or emergency, contact your Prescriber or dial 911 immediately. Do not rely on the AbridgeRx website for emergency medical help. Report to FDA via MedWatch (www.fda.gov/safety/medwatch).
  • Prescribers: You are responsible for monitoring patient communications and reporting adverse events to the FDA or pharmacy as required by law.
  • AbridgeRx is not responsible for monitoring, reporting, or responding to adverse events and shall not be liable for any failure to report or act on information received through the Platform.
5.3. Mobile Terms (SMS). By engaging with the Care Plan, you consent to receive recurring automated text messages (e.g., refill reminders, check-ins) at the phone number provided. Consent is not a condition to purchase. Msg & data rates may apply.
  • Opt-Out: Reply STOP to any message to cancel.
  • Carriers: Carriers (e.g., AT&T, Verizon) are not liable for delayed or undelivered messages.
5.4. Re-Disclosure. If you forward or share Care Plan messages, they may no longer be protected by HIPAA, as detailed in the HIPAA Authorization.

6. FEES, PAYMENTS & AUTOMATIC REFILLS
6.1. Payment Authorization. You authorize AbridgeRx to charge your designated payment method for all fees associated with your order.

6.2. Component Fees. You acknowledge the total price includes:
  • Medication & Shipping: Paid to the Pharmacy.
  • Platform Fee: Paid to AbridgeRx for technology and support.
  • Non-Covered Service Fee: A fee paid directly to your Prescriber for their time in managing any non-covered services related to your treatment
6.3. Automatic Refills. If you opt in to automatic refills during checkout or in your Care Plan settings, you authorize AbridgeRx to automatically charge your designated payment method for refills at the intervals specified in your Care Plan until you cancel. You may cancel automatic refills at any time by logging into your account and updating your refill settings, by contacting support@abridgerx.com. Cancellation will take effect for the next scheduled refill. Automatic refills are subject to your Prescriber’s continued authorization and availability of the medication through Partner Pharmacies. You acknowledge that opting in to automatic refills is not required to purchase medications and that you may choose one-time purchases instead.

6.4. No Refunds on Meds. Due to pharmacy regulations, prescription medications cannot be returned or refunded once shipped. Please refer to our Refund & Shipping Policy for details on damaged or missing shipments. Chargebacks may result in account termination. All fees include applicable taxes.

6.5. Anti-Kickback/Stark Compliance. The Non-Covered Service Fee is for Fair Market Value services only, not drug markups, and complies with the Anti-Kickback Statute by avoiding inducements. Services are non-Designated Health Services under Stark Law.

6.6. General Compliance. Users must comply with all applicable state and federal laws, including telehealth and compounding regulations. These Terms are governed by the laws of the State of Illinois, except to the extent preempted by applicable federal law (including but not limited to HIPAA, TCPA, and FDA regulations), in which case federal law shall control to the extent of any conflict.

7. SHIPPING & FULFILLMENT
7.1. Pharmacy Partners. Fulfillment is handled by our network ofPartner Pharmacies. AbridgeRx does not stock or handle medication.

7.2. Shipping. Shipping times are estimates. AbridgeRx is not liable for carrier delays (e.g., USPS/FedEx) once the package has left the Pharmacy.

8. INTELLECTUAL PROPERTY & FEEDBACK
8.1. Ownership. All content, software, logos, and technology on the Site are the exclusive property of AbridgeRx or its licensors.

8.2. Trademarks. "AbridgeRx," "RemedyRx," and the AbridgeRx logo are trademarks of RemedyRx, LLC.

8.3. Feedback License. If you provide AbridgeRx with any suggestions, feedback, or improvements regarding the Site ("Feedback"), you grant AbridgeRx a perpetual, irrevocable, royalty-free license to use such Feedback for any purpose without compensation to you.
9. TERMINATION
9.1. By You. You may terminate your account at any time by contacting support@abridgerx.com.

9.2. By Us. We reserve the right to suspend or terminate your access immediately if you violate these Terms or if your Prescriber terminates your care relationship.

9.3. Survival. Sections on IP, liability, indemnification, and arbitration survive termination.

10. DISCLAIMER OF WARRANTIES
THE SITE AND SERVICES ARE PROVIDED "AS IS." ABRIDGERX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT THE SITE WILL BE ERROR-FREE OR THAT THE MEDICATIONS WILL ACHIEVE ANY SPECIFIC CLINICAL RESULT.
11. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, ABRIDGERX SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS OR DATA). OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO ABRIDGERX IN THE SIX (6) MONTHS PRIOR TO THE CLAIM, EXCEPT FOR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.
12. INDEMNIFICATION
You agree to indemnify and hold harmless AbridgeRx, its officers, and agents from any claims arising out of: (i) your use of the Site; (ii) your violation of these Terms; (iii) (for Prescribers) your medical treatment or diagnosis of any patient; or (iv) claims related to medical outcomes or adverse events.
13. FORCE MAJEURE
AbridgeRx is not liable for delays caused by events beyond our control, including acts of God, supply chain shortages, carrier delays, or internet outages.
14. GOVERNING LAW & DISPUTE RESOLUTION
14.1. Governing Law. These Terms are governed by the laws of the State of Illinois.

14.2. Arbitration. Any dispute arising from these Terms shall be resolved by binding arbitration in Cook County, Illinois, under the rules of the American Arbitration Association. You waive your right to a jury trial and class/collective actions; disputes resolved individually.
15. SEVERABILITY & WAIVER
If any provision of these Terms is unenforceable, the remaining provisions will remain in full force. Failure to enforce any right does not constitute a waiver.
16. ENTIRE AGREEMENT & AMENDMENTS
These Terms, along with the Privacy Policy, Refund & Shipping Policy, HIPAA Care Plan Authorization, and (for Prescribers only) the Prescriber Services Agreement and Business Associate Agreement, constitute the entire agreement between you and AbridgeRx regarding the Site and Services. We may update these Terms at any time by posting the revised version on the Site; we’ll notify you via email or a prominent Site banner for material changes. Your continued use of the Site or Services after the effective date of any updated Terms constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must stop using the Site and Services.
17. GEOGRAPHIC RESTRICTIONS
The Site is intended for use only within the United States. Access from other countries is at your own risk. You agree to comply with U.S. export controls; no violations of ITAR/EAR.
18. REPORTING VIOLATIONS
Please report any violations of these Terms to support@abridgerx.com.
19. THIRD-PARTY LINKS
The Site may contain links to third-party websites. AbridgeRx is not responsible for the content or privacy practices of those sites; we do not endorse or control them.
20. ASSIGNMENT
We may assign our rights under these Terms to any affiliate or in connection with a merger or sale. You may not assign your rights without our written consent.
21. OUR PHARMACY PARTNERS
AbridgeRx partners with Pharmacies to fulfill your prescriptions. Your specific fulfilling pharmacy will be identified on your prescription label. Major partners include, but are not limited to:
  • MediVera Compounding Pharmacy
  • Apex Pharmacy
  • Curexa Pharmacy
The list of Partner Pharmacies is subject to change without notice, and AbridgeRx reserves the right to route prescriptions to any accredited Partner Pharmacy based on availability, location, or other operational factors. For contact information regarding your specific prescription, please refer to the label on your medication bottle.
